Introduction

Welcome to Radiocast ("Radiocast"). These Terms of Service ("Terms") govern your access to and use of the Radiocast website located at https://radiocast.net (the "Website") and all products, services, features, content, applications, and technologies provided by Radiocast through the Website (collectively, the "Service"). Programmatic interfaces you use as part of the Service — including Radiocast database-backed APIs and Radiocast Panel APIs (for example the HTTP API documented at https://panel.radiocast.net/api/openapi.yml) — are regulated by our API Usage Policy, which is incorporated into these Terms by reference. By accessing or using the Website or Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" includes both you and that organization.

Key Definitions

  • Website: the Radiocast site at https://radiocast.net.
  • Service: all functionality and content made available by Radiocast via the Website, including where applicable programmable access through Radiocast database APIs subject to our API Usage Policy.
  • User or you: any individual or entity that accesses or uses the Website or Service.
  • Station: an audio stream or channel created, managed, or broadcast via the Service.
  • User Content: content you upload, submit, broadcast, or otherwise make available through the Service, including audio, artwork, text, and metadata.
  • Paid Services: any paid features such as subscriptions, credits, sponsored placements, or advertisements.

Eligibility and Account

  • You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or legal guardian.
  • You are responsible for the accuracy of your registration information and for maintaining the confidentiality of your account credentials. You are responsible for all activity under your account.
  • We may suspend or terminate your account for any violation of these Terms or to comply with law.

License and Acceptable Use

Radiocast grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Service.

You agree not to:

  • Infringe or violate intellectual property, privacy, publicity, or other rights of others.
  • Upload, broadcast, or promote unlawful, defamatory, harassing, hateful, or obscene content.
  • Stream or rebroadcast content without having all necessary rights, licenses, and permissions.
  • Interfere with or disrupt the Service, circumvent security, or access non-public areas.
  • Scrape, crawl, harvest, or excessively poll the Service outside what our API Usage Policy allows for programmatic access, unless we give prior written consent.
  • Misuse paid features, including ad systems, sponsorships, or credits.

User Content and Streaming Rights

You retain ownership of your User Content. By making User Content available on or through the Service, you grant Radiocast a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transcode, adapt, publicly perform, publicly display, and distribute such content for the purpose of operating, improving, promoting, and providing the Service.

You represent and warrant that you have all rights necessary to upload, broadcast, and otherwise use your User Content on the Service, including any musical works, sound recordings, artwork, and metadata, and that your use complies with all applicable laws and third-party agreements.

Radiocast is a platform provider and does not provide, obtain, or pay for public performance, mechanical, synchronization, or any other music licenses or royalties on your behalf. You are solely responsible for securing all necessary rights and making all required payments for the content you stream or make available via your Station(s).

Copyright and DMCA

We respond to notices of alleged copyright infringement consistent with the Digital Millennium Copyright Act (DMCA) and other applicable laws. For more information on how to submit a notice or a counter-notice, please contact us at contact@radiocast.net.

Payments, Credits, and Subscriptions

  • Certain features are Paid Services (e.g., subscriptions, credits, sponsored placements, or ads). Prices and features may change.
  • Payments are processed by third-party providers (e.g., Stripe). You authorize us and our payment providers to charge your payment method for applicable fees and taxes.
  • Subscriptions renew automatically until canceled. You can cancel in your account settings; cancellation takes effect at the end of the current billing period.
  • Unless otherwise stated, fees are non-refundable to the fullest extent permitted by law. This does not affect any statutory rights that may apply.

Advertising and Sponsored Content

  • If you run audio ads or sponsored placements, you must comply with all applicable laws and advertising standards and clearly disclose sponsorships where required.
  • We may reject or remove ads or sponsored content that we deem inappropriate, unlawful, or disruptive.

Third-Party Services and Links

The Service may reference or integrate third-party services. We are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms and privacy policies.

Privacy and Cookies

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and share information, and to our use of cookies and similar technologies. Where required, we will obtain your consent for non-essential cookies.

Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, our Station Guidelines, or other platform policies to protect the Service or other users, or as required by law. Upon termination, the rights and licenses granted to you will end, except that provisions which by their nature should survive will survive (including ownership provisions, warranty disclaimers, limitations of liability, indemnity, and dispute terms).

Intellectual Property

Radiocast, the Website, the Service, our logos, trademarks, and associated intellectual property are owned by or licensed to Radiocast and are protected by law. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

Warranty Disclaimer

To the fullest extent permitted by law, the Website and Service are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

Limitation of Liability

To the fullest extent permitted by law, Radiocast will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, use, or goodwill, arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages. Our aggregate liability for all claims relating to the Service shall not exceed the greater of the amounts you paid to us for the Paid Services giving rise to the claim in the 12 months preceding the event or USD $100.

Indemnification

You agree to defend, indemnify, and hold harmless Radiocast and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.

Governing Law and Disputes

To the extent permitted by law, these Terms and any dispute arising out of or related to them or the Service will be governed by the laws of the United States and the jurisdiction where Radiocast is organized, without regard to conflict of laws principles. Venue will lie in the competent courts located in that jurisdiction, unless applicable law requires otherwise.

Changes to the Service or Terms

We may modify the Service and these Terms from time to time. If we make material changes, we will post the updated Terms on the Website and update the “Last updated” date above. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
